Bio

Divyansh (Divi) is a member of TGF’s Restructuring and Insolvency team. His experience includes rescue finance, distressed debt, distressed M&A, crisis management, special situations, court-supervised/out-of-court restructuring, and cross-border insolvency. Dually licensed as a lawyer in both Canada and India, Divi is further qualified to be an Insolvency Professional in India. In recognition of his academic achievements, Divi attended on scholarship a year-long residential program that rigorously trains India’s young bankruptcy trustees. In the program, he became certified as a commercial mediator and negotiator, which is a skill that he brings to complex insolvency cases.

Divi delivers practical and strategic legal advice backed by well-informed business experience. In Toronto, he worked with a Big Four accounting firm and then completed his articling term with a national law firm. In New Delhi, he developed skills as an insolvency litigator and gained hands-on experience in the investment arm of an American private equity giant, specializing in distressed acquisitions.

Divi's writings have earned recognition in leading journals within the restructuring field. His 2023 article, "Crypto-Bankruptcy Claims: When The Going Gets Tough, The Tough Get Trading," was featured in Singapore Global Restructuring Initiative and in Insolvency Insider Canada. In 2021, he penned a research paper titled, "Harmonizing Alternate Restructuring Mechanisms within India's Insolvency Code: Utility and Need for Schemes of Arrangement," published in the International Corporate Rescue.

In addition to his legal pursuits, Divi has a deep passion for public policy. He has been involved in diverse projects and fellowships with prestigious institutions like Harvard University's South Asia Institute, the University of Chicago, the Indian Parliament, and the United Nations. Divi is also an advocate for global child rights. He has volunteered in several countries with non-profit organizations that safeguard and champion safe childhood worldwide. In acknowledgment of his dedication to child welfare, the United Nations' Sustainable Development Solutions Network named Divi a Global Schools' Ambassador in 2018.

Since coming to Toronto, Divi has gained experience in a diverse range of matters as part of a team within various firms, representing clients in the following mandates:

  • Counsel for a Calgary-based crypto-trading platform ensuring compliance with bankruptcy-remote requirements, enabling the successful registration of a Canadian crypto-trading platform with the Investment Industry Regulatory Organization of Canada (IIROC).
  • Counsel for a Canadian buy-side firm's acquisition finance for majority stake in leading Canadian online financial marketplace with 19M+ annual users.
  • Counsel for Canadian subsidiary of a US conglomerate connected with floorings seeking recognition under Part IV of the Companies' Creditors Arrangement Act.
  • Buy-side diligence and compliance management counsel for distressed acquisition of an under-construction highway with US$20M syndicate debt size.
